These Terms & Conditions (“Terms”, “Agreement”) govern your access to and use of our website, as well as the purchase of our turnkey digital products, managed web solutions, and custom software development services provided by Shopi66 (“we,” “our,” or “us”).

By browsing our website, requesting a quote, or purchasing any service or digital product from Shopi66, you agree to be bound by these Terms. If you do not agree with any part of these Terms, please refrain from using our website or engaging our services.

1. Scope of Products & Services

Shopi66 offers digital software solutions, turnkey assets, and development services serving individual entrepreneurs, local businesses, growing startups, and international enterprises:

  • Fully Managed Web Solutions (For Small & Local Businesses): Ready-to-launch business websites, doctor/clinic appointment platforms, restaurant ordering sites, and retail stores deployed as a complete, fully managed cloud service with administrative dashboard access.
  • Turnkey Codebases & Digital Assets (For Startups & Developers): Pre-built web applications, SaaS platforms, and mobile application repositories sold with source code for independent commercial deployment.
  • Custom Software Development: Tailored web application design, mobile app engineering, third-party API integrations, and bespoke architectural builds based on agreed client specifications.
  • Technical Setup & Maintenance: Cloud server provisioning, custom domain DNS mapping, SSL security installation, payment gateway setup, and ongoing technical maintenance retainers.

2. Service Delivery Models & Intellectual Property Rights

To accommodate varying technical requirements, Shopi66 operates under two distinct project delivery models:

Model A: Managed Solutions (No-Code / Local Business Tier)

  • Designed for clinics, restaurants, service professionals, and non-technical business owners.
  • Access & Operation: The Client is provided administrative credentials to manage their appointments, menus, products, inquiries, and customer data via a user-friendly admin portal.
  • Infrastructure: Shopi66 handles cloud server hosting, platform updates, database backups, and technical infrastructure.
  • Ownership: The Client retains 100% ownership of their brand identity, domain name, customer records, patient/appointment data, logos, and uploaded content. Data exports are available upon written request.

Model B: Turnkey Codebases & Custom Development (Developer / Enterprise Tier)

  • Designed for tech startups, developers, and organizations requiring full platform control.
  • Source Code Handover: The Client receives full access to the Git source code repository, architecture files, and database schemas upon project completion.
  • Ownership Transfer: Upon 100% settlement of all invoice fees, Shopi66 transfers full commercial rights and codebase ownership to the Client.
  • Open-Source Components: Third-party frameworks, open-source libraries (e.g., React, Node.js, Tailwind CSS), and external APIs remain subject to their respective open-source or commercial licenses (e.g., MIT, Apache 2.0).

3. Pricing, Currencies & Payment Terms

  • Dual-Currency Structure:
    • Domestic Clients (India): Prices and invoices are quoted in Indian Rupees (INR / ₹). Payments may be made via UPI (Google Pay, PhonePe, Paytm), Net Banking, Debit/Credit Cards, or verified domestic payment gateways (e.g., Razorpay, Cashfree).
    • International Clients (Global): Prices and invoices are quoted in United States Dollars (USD / $), unless agreed otherwise in writing. Payments are accepted via international debit/credit cards, Stripe, PayPal, Wise, or international wire transfer.
  • Taxes & Processing Fees:
    • Domestic transactions within India may be subject to applicable Goods and Services Tax (GST) as specified on invoices.
    • International clients are responsible for any intermediary bank conversion charges, cross-border remittance fees, or local tax duties incurred through their selected payment provider.
  • Payment Schedules:
    • Turnkey Assets / Managed Setup: 100% upfront payment prior to live deployment or repository transfer.
    • Custom Development Projects: Staged milestone payments (typically a 50% initial commitment deposit to commence architecture/design, and 50% upon final user-acceptance testing prior to production launch).
    • Recurring Maintenance & Hosting Plans: Billed on a monthly or annual retainer schedule. Unpaid retainers after a 7-day grace period may result in temporary suspension of managed cloud hosting services.

4. Client Responsibilities & Onboarding

To maintain delivery timelines, the Client agrees to:

  • Supply all required brand assets (high-resolution logos, brand copy, service/menu details, imagery) during the initial onboarding phase.
  • Provide necessary third-party access (domain DNS records, payment gateway API keys, or communications credentials) required to complete configuration.
  • Review deliverables and provide consolidated feedback or milestone sign-offs within a reasonable timeframe.

5. Technical Support, Warranty & Maintenance

  • 30-Day Launch Warranty: All newly deployed websites and custom development projects include 30 days of complimentary technical support commencing on the date of delivery. This covers bug remediation, server configuration verification, and troubleshooting directly related to the agreed scope.
  • Out-of-Scope Enhancements: Major design modifications, brand-new feature additions, or complex backend logic overhauls requested after final sign-off are quoted separately as fixed-price enhancements or hourly billable tasks.
  • Maintenance Retainers: Clients subscribed to active monthly maintenance plans receive continuous cloud monitoring, regular security updates, scheduled database backups, and priority support.

6. Portfolio & Promotional Rights

  • Client Confidentiality: All proprietary business logic, custom project concepts, and confidential customer databases are treated with strict confidentiality.
  • Portfolio Showcase: Unless a formal Non-Disclosure Agreement (NDA) is executed prior to project kickoff, Shopi66 reserves the right to display visual screenshots, design concepts, and high-level case study summaries within our public portfolio and marketing channels.

7. Limitation of Liability & Third-Party Services

  • “As-Is” Software Provision: While Shopi66 adheres to modern engineering and security best practices, delivered digital assets and software solutions are provided on an “as-is” and “as-available” basis following client acceptance.
  • Third-Party Platforms: Shopi66 is not responsible for outages, policy updates, API deprecations, or service disruptions caused by external third parties, including domain registrars, payment processors (Stripe, Razorpay, PayPal), cloud server providers (AWS, Vercel, DigitalOcean), or third-party APIs.
  • Liability Cap: In no event shall Shopi66, its founders, or team members be liable for any indirect, incidental, or consequential damages (including loss of business revenue, profit, or data). Our total aggregate liability under this agreement shall not exceed the actual fees paid by you for the specific service in dispute.

8. Cancellation & Refund Policy

All cancellation and refund inquiries are governed strictly by our Refund & Delivery Policy:

  • For digital codebases and software repositories, refunds cannot be granted once raw source code files or Git access have been transferred or downloaded.
  • For managed website builds and custom development, refunds requested prior to the start of design and engineering are eligible for a full refund minus payment processing fees. Once active development has started, refunds are evaluated on a pro-rata basis reflecting completed milestones.

9. Acceptable Use & Prohibited Activities

You agree that you will not use any website, application codebase, or service provided by Shopi66 for:

  • Fraudulent operations, phishing schemes, or illegal activities.
  • Distributing malicious code, spyware, or unapproved spam networks.
  • Reselling raw, uncustomized copies of our turnkey digital products on public template marketplaces as standalone design themes.

10. Governing Law & Dispute Resolution

These Terms shall be governed by and interpreted in accordance with the applicable laws of India. In the event of any dispute, disagreement, or claim arising under this Agreement, both parties agree to first seek an amicable, good-faith negotiated resolution before seeking formal legal recourse.

11. Amendments to Terms

Shopi66 reserves the right to update or amend these Terms & Conditions at any time. Updated versions become effective immediately upon being published on this page. Your continued use of the website or engagement of our services after modifications indicates acceptance of the revised Terms.
